This isn't an uncommon practice in business generally (ie. a "kill fee") but I'm not sure its a concept that really works in this instance. I suppose the real issue is when do we consider the deal a "go". IMNSHO, there's no commitment on either part until the SP has been paid for her time. Before that, its still negotiable or subject to refusal.
