I am no fan of CB and as anyone here who has read anything of mine I acertainly no fan of the PGOTUS but having followed the Black trial faily closely I do believe that he was wrongly convicted and he would not have been convicted of anything in Canada. Having said that this is just typical Trump. CB writes a flattering book so here is the payoff.

Conrad Black's "crime" was that he thought he could intimidate the establishment in Washington the same way he for decades intimidated the establishment in Canada.

Great thing about trump is his transparency. Gave a list of potential judges for Scotus during his campaign which nobody has EVER done.

He grants pardons in the middle of his Presidency. He knows if anyone has a problem with it they can voice their disapproval at the ballot box

I hope I'm wrong but pardoning black may be trump testing the waters for further pardons. That would explain why he's risking it now as opposed to at the end of his presidency.

The non-compete agreements were a structured tax dodge that was reflected in the valuation of what was (ultimately) paid for the companies. The use of "Restrictive Covenants" was a common tactic when selling companies as the payment was not considered taxable income. That loophole was closed some years ago. Around 2013 but there are retroactive provisions going back many years. :-(

The first draft of section 56.4 of the Act was released by the Department of Finance in February of 2004. The new provision was largely introduced in response to two decisions of the Federal Court of Appeal, which had held that certain amounts paid to shareholders in connection with the sale of their companies' shares, as consideration for non-competition agreements, were not subject to income tax (which inevitably led to an increase in share sale transactions containing a non-compete component).

However, the scope of the version of section 56.4 of the Act that was finally enacted by Parliament continues to extend well beyond non-competition payments made to a vendor of corporate shares.

Furthermore, new section 56.4 generally applies retroactively to amounts received or receivable after October 7, 2003, subject to certain limited exceptions.
The new rules encapsulated in section 56.4 are lengthy and complex. Below is a summary of certain key features of new section 56.4:

  • by default, most payments received by a taxpayer in consideration for the taxpayer making a "restrictive covenant" must now be fully included in the income of the taxpayer for the purposes of the Act, subject to certain limited exceptions;

  • a "restrictive covenant" is broadly defined to include more than just conventional non-compete agreements; non-solicitation and non-disclosure covenants are also captured by the applicable definition of a "restrictive covenant";
